Total Noob in need of help

Hi,
Could someone possibly help me on how to replace the color on the second image to match the exact color on the first image?

Here is the first image

I want to change this image so that the color match exactly as the image above. I tried looking into replace color but I can only get some colors changed but can't seem to get all colors to match exactly.

Any help or guidance is greatly appreciated.
Thanks in advance.

What do you mean by getting it to match exactly? You're going to need to go in, cut some things into different layers, and start adjusting contrast and color balance on different layers to achieve the overall effect I think you'll looking for.
