Making a Rounded Corner Box with Text Inside

Hi Jetheat!
Not really sure what you're asking for here, since I can't think the black backgound plate you're showing is rounded..
But here's one way:
In the lower part of the Tool Bar you have this Rectangle Tool ( hotkey U - or Shift+U ).
Klick-and-hold to have the Fly-Out menu and in it you'll find a tool that's The Rounded Rectangle Tool.
Now this is a Shape Tool and when drawing your shape it will automatically be filled with whatever color you got in the Foreground Color Swatch.
I can't be more specific on how you are to go about doing whatever it is your going to do - since I don't know - so you just have to go from here and try it out yourself.
When done with your rounded rectangle - add a new layer on top in the Layers Panel, pick the Type Tool from the Tool Bar and type in your text.
Since the Rounded Rectangel Tool is a Shape Tool, it will draw a thin, black outline around your rectangle - which is a Path - so to make the Path invisible you have to open the Paths Panel and click some empty area in the panel to de-activate the Path.
On the other hand it will not be visible if you save the image as a jpeg or anything else than a psd.
